Forj Software, Inc. (“Forj“, “we“, “our” or “us“) develops and operates an online membership platform (the “Platform”), used by various organizations, associations, businesses, and communities of practice (“Community” or “Communities”) to provide their users and members an online destination where they can network, collaborate, learn and give back to others.  The Platform may be accessed through our website and its subdomains (collectively, the “Site”) as well as the Forj mobile application (the “App”).  

The access and use of the Site, the Platform and the App (collectively, the “Services”) are offered to you subject to the terms set forth in this Terms of Service Agreement (the “Terms”), our Privacy Notice, any applicable order form and/or Subscription Agreement, and our Data Processing Agreement (collectively, the “Agreement”).

The Services are owned and operated by Forj. By accessing or using the Services, you accept these Terms and any modifications that we may make to these Terms from time to time. We may update the Terms at any time. You may view the most recent version at https://www.forj.ai/tos.  By continuing to use the Services following such changes, you agree to the most current version of the Terms.
Violation of the Terms will result in the termination of your account. You agree to use the Services at your own risk and understand that Forj is not responsible for any content posted using the Services, nor to monitoring any information uploaded to the Services.
If you do not agree to any provision of these Terms, you should not use the Services.

1. The Services
The Platform is as described throughout the Site as may be amended from time to time. These Terms are applicable to visitors and users of the Services (“Visitor”), Community owners (“Owner”), Community managers (“Manager”), or Community members (“Member”) (Visitors, Owners, Managers, and Members are collectively referred to as “you” or “your” herein). The term “user” encompasses all users, including Visitors, Owners, Managers and Members.
We process data concerning all Users. Such data is processed in accordance with our Privacy Notice and, where applicable, our Data Processing Agreement. 
If Forj offers downloads or use of software on the Services, such software (including any files, software, products, API’s and services, including any of the foregoing which are provided by Forj’s partners) may be subject to a separate agreement which shall prevail over any of the terms herein.

2. Eligibility to Use our Services
By accessing the Services, you hereby warrant at least one of the following: (i) you are an individual over 18 years of age, (ii)  if you are a corporation, the corporation is valid and allowed to enter into these Terms, or (iii) if you are under 18 and over 16, you obtained parental consent to these Terms. If you are under 16 years old, do not use the Services.
You may not use the Services if you are barred from using the Services under the laws of the United States or other countries including the country in which you are resident or from which you use the Services. Subject to applicable law, Forj may, in its sole discretion, refuse to offer the Services to any person or entity and change its eligibility criteria at any time.

3. User Accounts
Use of the Services may require you to open an account; you must complete the registration process by providing current, complete and accurate information as prompted by the applicable registration form. You will choose a password and a username. You are responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for all activities that occur under your account. You agree to notify Forj immediately of any unauthorized use of your account or any other breach of security. Forj will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. You may not use anyone else’s account at any time.

4. Administrators
Communities shall be managed by an administrator (“Administrator”). By using the Services each Member acknowledges Administrator’s authority to (i) add any Member to the Community at Administrator’s discretion; (ii) remove any Member from the Community at Administrator’s discretion; (iii) discontinue the use of the Community; (iv) add a Member as an additional Administrator of the Community; (v) cease their role as an Administrator of the Community and appoint another Member as an Administrator; (vi) delete or remove any content from the Community which in Administrator’s discretion is inappropriate or unsuitable; or (vii) remove communications which are abusive, illegal, or disruptive, or that otherwise fail to conform with these Terms.


5. Content, Contributions and Prohibited Uses
Each User is solely responsible for his/her own communications, the consequences of posting those communications, and reliance on any communications found using the Services. Forj is not responsible for the consequences of any communications in any of the Forj Communities.
The Services may contain chat functions, personal profiles, forums, and other interactive features that allow you to post, submit, publish, display, or transmit (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the Services.

All User Contributions must comply with these Terms.

Any User Contribution posted to the Services will be considered non-confidential and non-proprietary. By providing any User Contribution on the Services, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose according to your account settings.

• You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.

• All of your User Contributions do and will comply with these Terms of Service.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

• You may use the Services only for lawful purposes and in accordance with these Terms.  By using the Services, you agree not to take any of the following actions:
• Using the Services for any purpose in violation of local, state, national, or international laws, or using the Services to violate the legal rights (including the intellectual property rights or the rights of publicity and privacy) of others.
• Promote any illegal activity or advocate, promote, or assist any unlawful act.
• Access or attempt to access data not meant for you, or intercept or attempt to intercept electronic mail or other forms of electronic communication not intended for you.
• Invade the privacy of, obtain the identity of, or obtain any personal data about any other user.
• Act dishonestly or unprofessionally, including by posting inappropriate, inaccurate, or objectionable content.
• Communicate with us or upload to or transmit on the Services any deceptive, fraudulent, defamatory, indecent, obscene, harassing, violent, or otherwise harmful or objectionable material, or any material that contains nudity, sexually explicit or pornographic material, violence, or discrimination based on race, gender, sex, sexual orientation, religion, nationality, disability, or age. 
• Use an image or a head-shot photo for your profile that is not your likeness.
• Create a false identity.
• Misrepresent your identity, including but not limited to the use of a pseudonym.
• Create an account for anyone other than yourself (a real person).
• Use or attempt to use another’s account.
• Harass, abuse or harm another person.
• Send spam or publish other unwelcomed communications to others.
• Use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use of the Services, including their ability to engage in real time activities through the Services.
• Introduce any viruses, Trojan horses, worms, logic bombs, corrupted data or other material that is malicious or technologically harmful.
• Post anything that contains software viruses, worms, or any other harmful code, or post any unsolicited or unauthorized advertising, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation unauthorized by Forj.
• Scrape or copy profiles and information of others through any means (including crawlers, browser plugins and add-ons, and any other technology or manual work).
• Act in an unlawful, libelous, abusive, obscene, discriminatory or otherwise objectionable manner.
• Disclose information that you do not have the right to disclose (such as confidential information of others).
• Manipulate identifiers in order to disguise the origin of any message or post transmitted through the Services.
• Copy or use the information, content or data of others available on the Services (except as expressly authorized).
• Reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for the Services or any related technology, or any part thereof.
• Share or disclose information of others without their express consent.
• Use manual or automated software, devices, scripts robots, other means or processes to access, “scrape,” “crawl” or “spider” on the Services or any related data or information.
• Use bots or other automated methods to access the Platform, or override any security feature of the Services.
• Engage in any other conduct that restricts or inhibits use of the Services, or which, as determined by us in our sole discretion, may harm Forj or other users.
• Otherwise attempt to interfere with the proper working of the Services.

• Record the dialogue in the Community.
• Investigate an allegation that communications do not conform with this Agreement and determine in its sole discretion to remove or request the removal of such communications.
• Remove communications which are abusive, illegal, or disruptive, or that otherwise fail to comply with these Terms.
• Terminate or limit a user’s access to the Platform or to certain Communities upon any breach of this Agreement.
• Monitor, edit, or disclose any communication in any Community.
• Edit or delete any communication(s) posted using the Services.

Forj or its licensors have no liability or responsibility to Users or any other person or entity for performance or nonperformance of the activities set forth in this Section.

6. Third-Party Beneficiary

Forj shall have the power and authority to enforce the provisions of these Terms.  In addition, by using the Services, you acknowledge and agree that Administrator and its affiliates are intended third-party beneficiaries of this Agreement and have the power and authority to enforce its provisions.

7. Electronic Communications
When you contact us by sending emails to us, you are communicating with us electronically and you grant us, our affiliates, and our third-party service providers the right to communicate with you electronically. We will communicate with you by email or by posting notices on this Site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

8. Proprietary Rights
The Services and the content therein (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are proprietary to Forj, its licensors, or other providers of such material and are protected by United States and international intellectual property or proprietary rights laws.  All intellectual property rights related to the Services are and shall remain Forj’s exclusive property. Nothing in the Services grants any license or right to use any marks displayed therein without the written permission of the owner of the mark. User’s misuse of the marks displayed within the Services is strictly prohibited.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Services in breach of these Terms, your right to use the Services will immediately cease and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Services or any content therein is transferred to you, and all rights not expressly granted are reserved by Forj. Any use of the Services not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.
Except as expressly provided, nothing contained in these Terms, the Agreement, or anywhere on the Services shall be construed as conferring any license under any intellectual property rights of Forj, its licensors or any third party.

We respect the intellectual property rights of others, and it is our policy to respond expeditiously to claims of intellectual property infringement. We will promptly process and investigate notices of alleged infringement and take appropriate actions under the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act and other applicable intellectual property laws. If you are aware of or experience any circumstances that appear to be a violation of these Terms of Service, please inform us by contacting us via email at privacy@forj.ai.

Upon receipt of such notice, we will act expeditiously to remove or disable access to any material claimed to be infringing or claimed to be the subject of infringing activity and will act expeditiously to remove or disable access to any reference or link to material or activity that is claimed to be infringing. We will terminate access for a user who is a repeat infringer.  

9. Third Party Apps or Websites
The Services may contain links and references to apps or websites of others. Forj may, from time to time, at its sole discretion, add or remove links to other apps or websites. These links are provided solely as a convenience to Users, and access to any such apps or websites is at User’s own risk. Users are recommended to review the information provided by third parties (such as, but not limited to, the terms of service and privacy policy of the relevant app or website) before accessing such apps or websites. In no event will Forj be responsible for the information contained in such apps or websites, their practices or for your use of or inability to use such apps or websites, or transmissions received from such sites. Each User expressly relieves Forj from any and all liability arising from such use of any third-party website.

10. No Warranty
To the extent required by law, Forj has no special relationship with or fiduciary duty to you. It is understood and agreed that Forj has no control over, and no duty to edit or review for accuracy or appropriateness any content provided by you or content provided by any User.
Forj does not provide any warranty whatsoever, with respect to any Content provided by you or by any User. It is hereby made explicitly clear that Forj shall not be held responsible for any acts and/or omissions on the part of any User. 

TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SERVICES OR ANY PRODUCTS, SERVICES, OR ITEMS OBTAINED THROUGH THE SERVICES OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY APP OR WEBSITE LINKED TO IT.

YOUR USE OF THE SERVICES, ANY RELATED CONTENT, AND ANY PRODUCTS, SERVICES, OR ITEMS OBTAINED THROUGH THE SERVICES IS AT YOUR OWN RISK. THE SERVICES, ANY RELATED CONTENT, AND ANY PRODUCTS, SERVICES, OR ITEMS OBTAINED THROUGH THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER FORJ NOR ANY PERSON ASSOCIATED WITH FORJ MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER FORJ NOR ANYONE ASSOCIATED WITH FORJ REPRESENTS OR WARRANTS THAT THE SERVICES, ANY RELATED CONTENT, OR ANY PRODUCTS, SERVICES, OR ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SERVICES OR THE SERVER THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES OR ANY PRODUCTS, SERVICES, OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. 

TO THE FULLEST EXTENT PROVIDED BY LAW, FORJ HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW

11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL FORJ OR OUR AFFILIATES, LICENSORS, AND SERVICE PROVIDERS, AND OUR AND THEIR RESPECTIVE OFFICERS, MANAGERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUPPLIERS, SUCCESSORS, AND ASSIGNS BE LIABLE FOR ANY DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES AND ANY RELATED CONTENT, PRODUCTS, AND SERVICES PROVIDED ON OR AVAILABLE THROUGH THE SERVICES OR ANY LINKED APP OR WEBSITE, INCLUDING ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, LOST PROFITS OR DAMAGES RESULTING FROM DELAY, INTERRUPTION IN SERVICE, VIRUSES, DELETION OF FILES OR ELECTRONIC COMMUNICATIONS, OR ERRORS, OMISSIONS OR OTHER INACCURACIES IN THE SERVICES OR ANY RELATED CONTENT, WHETHER OR NOT THERE IS NEGLIGENCE BY FORJ AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGES

Neither Forj nor its affiliated or related entities or its content providers are responsible or liable to any person or entity whatsoever for any direct or indirect loss, damage (whether actual, consequential, punitive, special or otherwise), injury, claim, liability or other cause of any kind or character whatsoever based upon or resulting from any information provided on the Services or from the use of, or the inability to use any content or thereon. You specifically agree that Forj is not liable for any defamatory, offensive, or illegal conduct of any user. If you are dissatisfied with the Services or any materials thereon, or with these terms and conditions, your sole and exclusive remedy is to cease using the Services.

WITHOUT DEROGATING FROM ANY OF THE FOREGOING, OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS, IF ANY, IN CONNECTION WITH THE SITE, THE SERVICES WILL BE LIMITED TO THE AMOUNT OF FEES ACTUALLY PAID BY YOU TO US DURING THE THREE (3) MONTHS PRECEDING THE CLAIM GIVING RISE TO SUCH LIABILITY, IF ANY, AND IF NO SUCH FEES ARE APPLICABLE, THEN OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED $1,000.00 USD. THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND ARE FUNDAMENTAL ELEMENTS OF THE BARGAIN BETWEEN US AND YOU.
CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

12.  Indemnification
You agree to defend, indemnify, and hold harmless us, our affiliates, licensors, and service providers, and our and their respective officers, managers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to (i) your access, use, or misuse of the Services; (ii) any User Contributions posted by you; (iii) your violation of the Agreement; (iv) the actual or alleged infringement of any of our or any third-party proprietary or intellectual property right arising out of your copying, republishing, uploading, posting, transmitting, distributing, selling, or using the Services in any manner not authorized by us; or (v) your negligent conduct. This includes, but is not limited to, any use of the content, products, and services on the Services other than as expressly authorized in the Agreement.

13. Availability
We may periodically schedule system downtime for maintenance and other purposes, and the Services may be unavailable due to unplanned system outages or circumstances outside of our control. We shall have no liability to any user or third party whatsoever for the resulting unavailability of the Services, for any loss of data or transactions caused by planned or unplanned system outages, or for the resultant delay, misdelivery, or non-delivery of information caused by such system outages.
We reserve the right to terminate, withdraw or amend the Services or any portion thereof, including any product, service, or material we provide on or through the Services, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Services is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Services, or to the Services altogether.

14. Errors
We attempt to provide the most recent, accurate, and reliable information on our Services. However, there may be occasions when information featured on our Services may contain typographical errors, incomplete data, inaccuracies, or items featured on the Services that are no longer available. We do not warrant that the information accessible via the Services is accurate, complete, or current. Any errors are unintentional, and we apologize if erroneous information is reflected on the Services. We reserve the right to correct errors and to update the Services at any time, but we are under no obligation to update the Services or any related content.

15. Termination
Forj may terminate your access to all or any part of the Services at any time, with or without cause, or with or without notice, effective immediately, if at Forj’s discretion you violate the Terms. Such termination may result in the destruction of all information and data associated with your account.

• Monitor, delete, edit, remove, or refuse to post any User Contributions, in whole or in part, for any or no reason in our sole discretion without notice to you.
• Take any action with respect to any User Contributions that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contributions violate the Terms of Service, infringe any intellectual property right or other right of any person or entity, threaten the personal safety of users or the public, or could create liability for the Services.
• Disclose your identity or other information about you to any third party who claims that material posted by you, or through your username, violates such third party's rights, including its intellectual property rights or its right to privacy. 
• Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Services. 

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Services. YOU WAIVE AND HOLD US AND OUR AFFILIATES, LICENSEES, AND SERVICE PROVIDERS HARMLESS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

Provisions of these Terms regarding the content restrictions and limitations, disclaimers, indemnification, and liability limitations shall survive termination of these Terms for any reason.

16. Governing Law; Dispute Resolution
The laws of the State of Wisconsin will govern this Agreement, without regard to its conflict of law principles. Any and all legal claims, suits or actions that arise in connection with this Agreement and/or the Site or Platform, claimed against us shall be brought exclusively in the courts located in Milwaukee, Wisconsin, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your jurisdiction of residence or any other relevant jurisdiction. You agree that this Site shall be deemed a passive website that does not give rise to personal jurisdiction over Forj, either specific or general, in jurisdictions other than Wisconsin.

17. Limitation of Claims
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or the Agreement must be filed within one year after such claim or cause of action arose or be forever barred.

18. Waiver and Severability
The failure of Forj to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any of the provisions of this Agreement are held invalid, unenforceable, or void by a court or other tribunal of competent jurisdiction, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Agreement shall continue in full force and effect.
